The contracting Seller is the entity stated on the applicable quotation, order confirmation or invoice:
4.2 Customer is responsible for all taxes and import charges (unless Seller confirms DDP in writing). If Seller is required to collect taxes, they will be added to the invoice.
5.2 Late payments may accrue interest at the lower of 1.5% per month or the maximum allowed by law, plus collection costs.
5.3 Seller may suspend deliveries until all overdue amounts are paid.
6.2 Risk of loss passes per the agreed Incoterm (typically upon delivery to the first carrier). Title passes upon full payment, subject to applicable law.
6.3 Lead times: in stock items dispatch in 1–3 Business Days after payment; backorder items typically 1–3 weeks. Lead times are estimates and may vary due to supplier/carrier conditions or export paperwork.
6.4 Seller may make partial shipments and invoice each separately.
7.2 Failure to notify within this period constitutes acceptance of the delivery as conforming.
Returns & Refunds (RMA)
Returns are subject to Seller’s Returns & Refunds Policy (incorporated by reference). New, unused items may be returnable only with prior RMA; custom/special-order, opened sterile or installed electronic parts are generally non-returnable unless defective or agreed in writing.
9.2 Warranty covers defects in materials/workmanship under normal use by qualified personnel.
9.3 Remedies are limited to repair, replacement or refund/credit at Seller’s discretion.

10.2 Customer is responsible for verifying compatibility (model/PN/serial) and for installation by qualified personnel per OEM instructions and local regulations.
10.3 Products are not supplied with clinical advice. Any regulatory compliance for installation and use rests with Customer/end user.
If the Seller on the invoice is MEDTREST LLC, these Terms are governed by the laws of the State of Alabama, excluding its conflict-of-law rules, and the parties submit to the state/federal courts located in USA, Alabama.
The English version controls in case of translation inconsistencies.
18.2 Severability: If any term is invalid, the remainder remains in effect.
18.3 Assignment: Customer may not assign an Order without Seller’s prior written consent.
18.4 No waiver: Failure to enforce a term is not a waiver of future enforcement.
18.5 Notices: By email to the addresses on the quotation/Order Confirmation/Invoice shall be sufficient unless a stricter form is required by law.

1) Contracting Entity & Scope
These Terms & Conditions of Sale (“Terms”) govern all quotations, offers, sales and deliveries of products (“Products”) by Partsformed to any purchaser (“Customer”).The contracting Seller is the entity stated on the applicable quotation, order confirmation or invoice:
- INSPIRE INNOVATIONS INTERNATIONAL LIMITED (Hong Kong) – typically the Merchant of Record for international orders; or
- Medtrest LLC (United States) – for orders as specified on the document.
By placing an order, Customer agrees to these Terms. Any additional or conflicting terms in Customer documents are rejected unless expressly accepted in writing by Seller.
2) Definitions
“Order” — Customer’s request to purchase Products; “Order Confirmation” — Seller’s written acceptance (email sufficient); “Invoice” — payment document issued by Seller; “Business Day” — a day other than weekend/public holiday at Seller’s location.3) Quotations, Orders & Acceptance
3.1 Quotations are not binding and may be revised for availability, price and lead time.
3.2 An Order is an offer to buy. The contract is formed only when Seller issues an Order Confirmation or dispatches the Products.
3.3 Seller may decline/cancel an Order (e.g., export restrictions, credit/risk, pricing or specification errors) and will refund any amounts received.
4) Prices, Taxes & Charges
4.1 Prices are in the currency shown on the quotation/invoice and exclude taxes, duties, import fees, brokerage, insurance and shipping unless stated otherwise.4.2 Customer is responsible for all taxes and import charges (unless Seller confirms DDP in writing). If Seller is required to collect taxes, they will be added to the invoice.
5) Payment
5.1 Payment terms are as stated on the invoice (typically prepayment by bank transfer; secure card checkout to be added). Seller never requests card data by email.5.2 Late payments may accrue interest at the lower of 1.5% per month or the maximum allowed by law, plus collection costs.
5.3 Seller may suspend deliveries until all overdue amounts are paid.
6) Delivery, Shipping, Title & Risk
6.1 Delivery terms follow the Incoterms shown on the quotation/invoice (commonly CPT/CIP for parcels; FCA/FOB for freight; DDP only if confirmed).6.2 Risk of loss passes per the agreed Incoterm (typically upon delivery to the first carrier). Title passes upon full payment, subject to applicable law.
6.3 Lead times: in stock items dispatch in 1–3 Business Days after payment; backorder items typically 1–3 weeks. Lead times are estimates and may vary due to supplier/carrier conditions or export paperwork.

7) Inspection, Delivery Issues & Claims
7.1 Customer must inspect shipments upon receipt and notify Seller of shortages, damage or errors within 48 hours. Keep packaging for carrier inspection.7.2 Failure to notify within this period constitutes acceptance of the delivery as conforming.

9) Warranty

10) Product Information, Compatibility & Use
10.1 Seller is an independent reseller. Trademarks belong to their owners.10.2 Customer is responsible for verifying compatibility (model/PN/serial) and for installation by qualified personnel per OEM instructions and local regulations.
10.3 Products are not supplied with clinical advice. Any regulatory compliance for installation and use rests with Customer/end user.
11) Export Controls & Sanctions
Customer represents that Products will not be used for prohibited end-uses (e.g., WMD), or shipped to embargoed/restricted destinations, parties or activities. Seller may cancel or hold any Order to comply with export, re-export and sanctions laws.12) Limitation of Liability
To the maximum extent permitted by law, Seller is not liable for any indirect, incidental, special, punitive or consequential damages (including downtime, loss of profits, data, or use). Seller’s aggregate liability is limited to the amount paid for the Product giving rise to the claim. Nothing limits liability for death/personal injury caused by gross negligence or fraud where such limitation is unlawful.13) Force Majeure
Seller is not liable for delays or non-performance due to causes beyond reasonable control (e.g., supply shortages, epidemics, strikes, carrier failures, acts of God, war, sanctions). Performance is excused for the duration of the event.14) Data Protection & Privacy
Personal data is processed per Seller’s Privacy Policy and Cookie Policy, available on the Site. Customer shall ensure any personal data it provides is accurate and lawfully obtained.15) Confidentiality
Non-public pricing, quotes and technical documents provided by Seller are confidential and may not be disclosed except to complete the transaction or as required by law.16) Governing Law & Dispute Resolution
If the Seller on the invoice is INSPIRE INNOVATIONS INTERNATIONAL LIMITED, these Terms are governed by the laws of Hong Kong, and the parties submit to the exclusive jurisdiction of the Hong Kong courts (without prejudice to Seller’s right to seek injunctive relief elsewhere).If the Seller on the invoice is MEDTREST LLC, these Terms are governed by the laws of the State of Alabama, excluding its conflict-of-law rules, and the parties submit to the state/federal courts located in USA, Alabama.

17) Changes
Seller may update these Terms from time to time. The version and effective date above indicate the current Terms. Orders are governed by the Terms in effect on the Order Confirmation date unless otherwise agreed.18) Miscellaneous
18.1 Entire Agreement: These Terms, together with Order Confirmation, Invoice and referenced policies, form the entire agreement for the sale of Products.18.2 Severability: If any term is invalid, the remainder remains in effect.
